Financial Statements 2005 of Praktiker Bau- und Heimwerkermärkte Holding AG
Good sales and earnings growth in 2005

  • Net sales in fiscal 2005 rose to € 3.03 billion (+3.4 percent)

Kirkel, 4 April 2006 – Fiscal 2005 has been a very successful year for Praktiker Bau- und Heimwerkermärkte Holding AG: Consolidated sales rose 3.4 percent to € 3.03 billion (2004: € 2.93 billion), earnings before interest, taxes and amortization (EBITA) climbed by 31.6 percent to € 105.8 million (2004: € 80.4 million). The previous year’s EBITA margin of 2.7 percent was exceeded once again in 2005 and came in at 3.5 percent. The fourth quarter 2005 proved to be particularly positive with sales revenues of € 716.8 million (2004: € 671.5 million) and EBITA of € 23.8 million (2004: € 22.4 million). “The fast and profitable growth, in particular of our international business, contributes to the excellent business financials. The increased efficiency of our German operations, too, is bringing us further ahead and an important reason for margin improvement“, said Praktiker’s CEO, Wolfgang Werner. This positive trend is also reflected in the earnings per share, which improved by more than 22 percent from € 1.08 to € 1.32 on the basis of the combined financials*.

Praktiker drives expansion into Romania
Four new locations opened in December 2006 alone

Kirkel/Bucharest, 28 November 2006 - Praktiker is massively extending its market leadership in Romania: In December alone, four new stores will be opened in this EU accession country. In total, the number four on the European DIY market invested around EUR 30 million into these locations.

Changes in the management board of Praktiker Group
Walter Weber will not extend his contract, which ends September 2007

Kirkel, 7 September 2006 - Walter Weber, member of the management board of Praktiker Bau- und Heimwerkermärkte Holding AG responsible for administration, has notified the supervisory board today that he will not extend his contract ending September 2007. At the same time he requested that he may exclusively focus on accounting and reporting for the rest of his term due to the high additional amount of work expected to come from the first consolidation of the Max Bahr Holzhandlung GmbH & Co. KG. This request was granted by the company's supervisory board at its meeting today.

Financing of Max Bahr acquisition
Praktiker successfully placed Euro 150 million convertible bonds

Kirkel, 24 August 2006 - Praktiker Bau- und Heimwerkermärkte Holding AG successfully placed convertible bonds in an aggregate principal amount of Euro 150 million. The company made use of the authorisation at the general meeting on June 27, 2006. The convertible bonds, which convey the right to subscribe for approximately 4.44 million underlying shares of Praktiker, have a maturity of five years. The shareholders' pre-emptive rights were excluded. The coupon/yield to maturity was fixed at 2.25 per cent, the lower end of the range of 2.25 and 2.75 per cent, and the conversion premium was fixed at 40 per cent, the higher end of the 35 to 40 per cent conversion premium range. The conversion price is € 33.77 per share. Summarising, Praktiker has achieved the best terms within the given range in the bookbuilding process.

Financing of Max Bahr acquisition
Praktiker plans to issue Euro 150 million convertible bonds

Kirkel, 24 August 2006 - Praktiker Bau- und Heimwerkermärkte Holding AG plans to issue convertible bonds in an aggregate principal amount of Euro 150 million. The company is making use of the authorisation at the general meeting on June 27, 2006. The convertible bonds, which convey the right to subscribe for approximately 4.7 million underlying shares of Praktiker, will have a maturity of five years. The shareholders' pre-emptive rights are excluded. The coupon/yield to maturity is expected to be in a range of 2.25 and 2.75 per cent, the conversion premium between 35 and 40 per cent. The final conversion premium and coupon/yield to maturity will be determined at pricing.

Praktiker to buy operational business of Max Bahr

  • International expansion: We will continue our aggressive expansion into attractive East European markets as planned. This acquisition will not have any effect on value-orientated growth abroad. Our target remains unchanged with 15 to 20 new stores per year in the medium term.

  • Two-brand strategy: The two-brand strategy will help assure sustained improvement of our competitive position.

  • Easy-to-shop: After the opening of our six pilot stores in July, the Easy-to-shop concept shall be rolled out in 2007.

Kirkel, 16 August 2006 - Praktiker Bau- und Heimwerkermärkte Holding AG is taking over the operational business of Max Bahr Holzhandlung GmbH & Co. KG. A corresponding transaction was agreed upon by the two partners on Wednesday in Hamburg. In its last financial year (01.03.05 - 28.02.06), Max Bahr achieved net sales of Euro 726 million at 77 locations with a total sales area of 513,249 m². Together with Max Bahr, the Praktiker Group will achieve annual sales of almost Euro 4 billion.

Praktiker redefines the DIY center of the future
Shopping made easy: six Easy-to-Shop pilot stores at the start

  • a clearly structured store layout with a broad axial center aisle, prominent promotion areas and an unequivocal navigation to the different departments,
  • easy to understand color-coded navigation systems supported by pictograms in the departments and at the shelves,
  • a logical presentation of goods that clearly differentiates between entry-level brands, private labels and brand products,
  • information columns with product descriptions that leave scarcely any more questions open,
  • direct correlation between sample products and the packed merchandize (e.g. bathroom furniture, electrical appliances) as well as core assortments and the corresponding accessories (e.g. paints and brushes)
  • clearly visible, unequivocal price messages (assortment prices = blue, promotion and special prices = red).

Gerlingen/Kirkel - 31. July 2006. With the opening of the first six Easy-to-Shop stores Praktiker offers its customers a new shopping experience. Easy-to-Shop means: a targeted assortment optimization facilitates and accelerates the customers' decision to buy. A clear store layout and a largely self-explanatory merchandize presentation in addition also set new standards in terms of logistics and clarity. "We offer our customers everything they need", stressed Praktiker's CEO Wolfgang Werner at the inauguration of the pilot store in Gerlingen, "but he will now be able to find what he is looking for much faster than before". This summer alone, Germany's second largest operator of DIY and home improvement centers invested more than € 2 million in the pilot phase of this new sales concept.

Quarterly Report Q2/2006 of Praktiker Bau- und Heimwerkermärkte Holding AG
Sales and earnings clearly improved

  • Group sales raised 7.5 % to € 888.3 million

Wolfgang Werner, CEO of Praktiker Bau- und Heimwerkermärkte Holding AG: "We are fully back on track. The First Quarter losses were more than compensated. We have overcome the stagnation caused by the long winter season in Germany."

Annual General Meeting of Praktiker resolves on dividend of 45 euro-cent per share


Saarbrücken - 27 June 2006. The shareholders of Praktiker Bau- und Heimwerkermärkte Holding AG will be paid a dividend of 0.45 euro per share for the 2005 financial year. The Annual General Meeting of the company held today approved the respective recommendation of the Management Board and the Supervisory Board of the company that has been listed since 22 November 2005. Measured by the current market price of the share, the dividend yield is above two percent. The present stock market price of the share is around 40 percent above the issue price.

This was the gist of the statements made by Wolfgang Werner, chairman of the Management Board, at the first Annual General Meeting held by Praktiker Bau- und Heimwerkermärkte Holding AG in Saarbrücken on Tuesday. "Our growth targets are ambitious", he said.

Six stores with the new sales concept
Easy-to-Shop launched as pilot

Kirkel - 30 May 2006. In early August, six pilot stores in Germany will launch the new easy-to-shop sales concept. This concept will make shopping at the Praktiker home improvement and DIY centers easier, more convenient and faster - with prices remaining at their present competitive levels.

Quarterly Report Q1/2006 of Praktiker Bau- und Heimwerkermärkte Holding AG
Group sales unchanged over the past year despite negative special effects – International operations continue to grow dynamically

  • Praktiker’s group sales at € 717.7 million (2005: € 718.9 million)
  • Germany: Sales down due to weather-related slump in demand for gardening supplies from € 583.6 to € 560.1 million (- 4.0 percent)
  • Abroad: Double-digit growth in Eastern Europe from € 135.3 to € 157.6 million (+16.5 percent)
  • Outlook: Expected rise in sales and earnings for full fiscal 2006

Kirkel, 26 April 2006 – Despite negative seasonal special effects Praktiker Bau- und Heimwerkermärkte Holding AG was able to close the 1st Quarter 2006 with sales remaining at the previous year’s level. As at 31 March, total sales stood at € 717.7 million (2005: € 718.9 million). While international sales climbed by 16.5 percent to € 157.6 million, the sales volume in Germany declined 4.0 percent to € 560.1 million. The reason for this drop in domestic sales was a weather-related slump in demand for gardening supplies, which had a massive negative effect on business in March and prevented a more positive quarterly statement. In addition, this year’s Easter business fell into the 2nd Quarter. Accordingly, Praktiker’s earnings before interest, taxes and amortization (EBITA) dropped from € -8.4 million to € -15.9 million.

Supervisory Board paves the way for succession of Karlheinz Kockmann
Pascal Warnking to be on the Management Board of Praktiker

Kirkel – 08.03.2006. Pascal Warnking (35) will be the new Management Board member of Praktiker responsible for Category Management and Marketing. With this decision the Supervisory Board of Praktiker Bau- und Heimwerkermärkte Holding AG at its meeting held on 7 March 2006 paved the way for the next generation at the top of this key function. Effective 1 July 2006 Warnking, who already held the position of Head of the Marketing Division, will succeed Karlheinz Kockmann (61) who then is resigning from the five-member Board of Management on the grounds of age.

Praktiker 2005 with leap in profits and appreciable rise in sales
EBITA climbed by 31.6 percent to € 105.8 million in 2005

Praktiker Bau- und Heimwerkermärkte Holding AG recorded a strong leap in profits in fiscal 2005: According to the combined financials, earnings before interest, tax and amortization (EBITA) rose by 31.6 percent from € 80.4 to 105.8 million. This was in particular attributable to the successful opening of new outlets abroad as well as a consistent cost and human resources management in Germany.

Praktiker accepted to the MDAX
CEO Werner: “Praktiker stock now even more attractive”

Kirkel – 4 March 2006. Roughly 100 days after Praktiker Bau- und Heimwerkermärkte Holding AG went public its stock was accepted to the MDAX on Friday evening. Following the decision of Deutsche Börse AG’s Working Committee for Equity Indices the main reason for this move was the good development of the share price. Praktiker now ranks 41 by market capitalization (previous month 43) of the public float and 36 exchange transactions (previous month 40).

Successful Business Performance in 2005

Kirkel – 17 January 2006. According to preliminary figures the Praktiker Group was able to raise its sales in the past fiscal year (1 Jan – 31 Dec 2005) from Euro 2.93 to 3.03 billion, equivalent to a plus of 3.4 percent. Like-for-like, the increase stood at 1.5 %. Even in the highly competitive German market Praktiker Bau- und Heimwerkermärkte Holding AG was able to win new market shares with like-for-like sales up 0.7 %. Abroad, the accelerated expansion of Praktiker resulted in a sales growth of 12.3 % (like-for-like 3.9 %). The share of international business rose form 23.4 to 25.4 % in 2005.
